Went FULL Stock, old video card, old ram, new hard drive, tried to install Windows 7 and received BSOD 0x0000004F

This is probably nothing to do with it, but what are your post crash CPU temps? (Can be found in the BIOS). Also, have you replaced your systems fans at any point?

Unfortunately I have had no success replicating this issue with my Pentium D 945 (SL9QB) on P5LP-MB (Taken from an XL2 but force flashed with XL1 BIOS) under both Windows 7 or Windows 8.
I would like to suggest you flash the factory BIOS back on to your machine leaving the Pentium D 945 in place, you will get a microcode error at boot up but you can bypass this by pressing F1. I have tested this configuration my machine here and it is stable for the purposes of testing, it would be interesting to see if you get the same blue screens even with the factory BIOS.
Alternatively, can you test the processer (burn-in) on another PC?

Amazon sent out a replacement processor on Monday. After I install it and run another install I'll try the bios update/downgrade.
will check garage to see if I have another compatible motherboard to try out this processor before I send it back.

Thanks John Cant seem to find the crash reports in BIOS 1.0.0.1 Only current temps 42c processor 24c board, fans and heat sink felt cool to the touch as the blue screen occurred. Sent from my xoom

Got the new processor in the mail and again received a BSOD.
This processor acted different then the last one. For instance the splash screen with the dogs came on and then quickly went away, last processor showed the dogs for a couple seconds. Next the BSOD seemed to come on later in the windows 7 install, the new processor seemed to cause the BSOD sooner. Third the old processor ran at 48c temp on bios, the new processor shows 50c temp on bios. Just some things I find weird.
I flashed back to old bios received BSOD then flashed back to modified bios and received bsod.
I'm thinking that this might be a tempature issue.... Maybe the two fans (both are working) might not be strong enough....
Running the old processor in it now.

I'm sorry to hear you had no luck with your replacement CPU, did you check the number of this D945, is it the same version as before?
I don't know about the first 2 differences you mention, but the 3rd difference, the extra 2°C, could be caused by the room temp or how the thermal paste was applied.
I don't think this will be a temperature issue, I think the motherboard bleeps if something starts overheating. The 2 fans should be enough to cool your CPU and 50°C for your CPU sounds about right to me. That said, there is a simple way to test this. Firstly remove any dust from inside the case and off your fan (case fans, CD drive fan and PSU fans) (I use compressed air), leave the top off your VGX-XL1 case and leave a window open in the room. As you have already reverted back to your original CPU, I wouldn't bother testing this, I really don't think you have any temperature issues.
I think he reason why John has asked for other VGX-XL1 owners to come forward is to try and determine whether your issue is isolated to you or whether it affects all XL1 owners.

The temperatures seems fine Vince and are closely consistent with what I get on my Pentium D 945. Am I correct in assuming that the combination of your original standard processor and the modded BIOS still works fine?
Oliver is correct, I'm looking for other XL1 owners in the field who can assist with this.

You think its because the processor is a SL9QQ and not a SL9QB? The difference I have found online is that the the SL9QB stepping/version is C1 and the SL9QQ is stepping/version D0.... I know you peeps already know this, just feel like a slacker sitting here not adding to the convo....
